
Virgin Atlantic Airways (VS) and Lufthansa Group (LH) confirmed Monday they have signed a terms and conditions contract on the sale of LH’s loss-making UK subsidiary British Midland (bmi).
The agreement follows a similar accord inked between LH and British Airways’ (BA) parent International Airlines Group (IAG) last month (ATW Daily News, Nov. 7).
VS’s interest in bmi is long-standing and is based on plans to join bmi’s short- and mid-haul networks to its long-haul network at London Heathrow (LHR). It also feels a BA-BD tie-up would increase BA's "already too dominant" position at LHR.
“British Airways’ hold over Heathrow is already too dominant and we are very concerned—as the competition authorities should also be—that BA’s purchase of bmi would be disastrous for consumer choice and competition,” a VS spokesman told UK media.
“We believe that our offer will lead to the best outcome for the millions of consumers that fly in and out of Heathrow every year.”
The agreement with IAG did not contain an exclusivity clause but granted the holding company access to conduct due diligence on bmi, an LH spokesperson told ATW. “We did the same with Virgin,” he explained. “Our aim is to find the [best] solution for Lufthansa and for bmi.”
LH is expected to make a final decision on the sale in the first quarter of 2012.
Bmi reported an operating loss of €154 million ($205 million) in the first nine months of 2011, widened from a €90 million deficit in the year-ago period.

A better solution from a consumer point of view would be VS taking on BMI. They should however be under no illusions that they can get it on the cheap, on anti-trust grounds. Tie-ups at other Continental European hubs have resulted in simlar ""already too dominant" positions to that which would result from a sale to BA.
I pretty much reckon that VS is in it for the "If you cant get it at a decent price at least make your competitor pay over the odds" game.

This has a while to play, but the main benificery will be LH. BA probably have deep pockets, they will get a handsome price for any slots they have to sell. And they wont be picked up by VS
Virgin however who thought they could get BMI on the cheap have probably been wrong footed... VS would be a more attractive investment if it wins this race, but this will cost it.
IAG, having already purchased slots from BMI, two european hubs and a capacity contrained heathrow, won't lose sleep if this falls through, they are already potentially looking at TAP, VS as a small player in what is becoming a pool of big fish probably will...
